1. Acceptance of Terms

By accessing or using the SA Clinique website (saclinique.com), our digital health platform, or any services provided by SA Clinique Wellness ("SA Clinique", "we", "us", "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our services.

These Terms constitute a legally binding agreement between you and SA Clinique Wellness. We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms.

2. Medical Disclaimer & No Guarantee of Results

SA Clinique provides precision health assessments, biomarker analysis, personalised health roadmaps and wellness programmes. You expressly acknowledge and agree that:

• Not a substitute for medical advice: Our services, content and communications — including assessments, health scores, biomarker reports, care plans and recommendations — are for informational and wellness purposes only. They do not constitute the practice of medicine, nursing or any other licensed healthcare profession, and do not create a physician-patient relationship.
• No guaranteed results: SA Clinique makes no representations, warranties or guarantees that any health goal, outcome or result will be achieved through use of our services. Individual results vary significantly based on factors including, but not limited to, existing health conditions, genetics, lifestyle, adherence to protocols and other factors outside our control.
• Consult your physician first: Before beginning any health programme, treatment, protocol, supplement regimen or lifestyle change recommended through SA Clinique, you must consult your own licensed physician or qualified healthcare provider. This is especially important if you have any existing medical conditions, are pregnant or breastfeeding, or are currently taking any medications.
• Emergency situations: If you are experiencing a medical emergency, call emergency services (112 in India) immediately. SA Clinique is not an emergency healthcare service.
• Symptom management: Do not use our services as a reason to delay seeking, disregard or discontinue professional medical advice, diagnosis or treatment for any symptoms or medical conditions.

3. Eligibility

Our services are intended for individuals aged 18 years and above. By using SA Clinique services, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement. We reserve the right to refuse service to anyone at our discretion.

4. Membership & Services

SA Clinique offers membership programmes (THRIVE and THRIVE Elite) providing access to digital health services, biomarker tracking, physician reviews and personalised health protocols. By purchasing a membership, you agree to:

• Provide accurate, complete and current information about yourself
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorised use of your account
• Use the services only for lawful, personal, non-commercial purposes
• Not share access to your account with third parties

5. Payment & Refund Policy

All membership fees and service charges are stated in Indian Rupees (INR) and are inclusive of applicable taxes unless otherwise stated. Payment is due in advance of service delivery.

All sales are final. We do not offer refunds under any circumstances, including but not limited to: change of mind, failure to use the service, dissatisfaction with results, or cancellation after purchase. By completing a purchase, you acknowledge and accept this no-refund policy.

6. Health Information Accuracy

You are responsible for providing accurate and complete health information when completing assessments and questionnaires. SA Clinique's recommendations and care plans are based on the information you provide. Providing inaccurate, incomplete or misleading health information may result in inappropriate recommendations and releases SA Clinique from any liability arising from such inaccuracies.

7. Intellectual Property

All content on the SA Clinique website and platform — including text, graphics, logos, images, assessments, protocols, health reports and software — is the exclusive property of SA Clinique Wellness or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display or exploit any content from our services without our prior written consent.

8. Prohibited Uses

You agree not to use our services to:

• Violate any applicable law, regulation or these Terms
• Impersonate any person or misrepresent your identity or affiliation
• Transmit any unsolicited communications, spam or malware
• Attempt to gain unauthorised access to our systems, accounts or data
• Scrape, harvest or collect data from our platform without authorisation
• Use our services for any commercial purpose without written permission
• Interfere with the proper functioning of the platform

9. Limitation of Liability

To the fullest extent permitted by applicable law, SA Clinique Wellness, its directors, employees, partners and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to:

• Loss of health outcomes or failure to achieve desired results
• Reliance on any information or recommendation provided through our services
• Errors, inaccuracies or omissions in health assessments or biomarker reports
• Interruption or unavailability of our platform or services
• Unauthorised access to or disclosure of your personal or health information

Our total aggregate liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the amount you paid to SA Clinique in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify, defend and hold harmless SA Clinique Wellness and its officers, directors, employees and agents from any claim, demand, loss, liability or expense (including legal fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) inaccurate health information you provided; or (d) your violation of any applicable law or third-party rights.

11. Third-Party Services

Our platform may integrate with or link to third-party services, including laboratory partners, payment processors and health technology providers. SA Clinique is not responsible for the content, privacy practices or terms of any third-party service. Your use of third-party services is at your own risk and governed by their respective terms.

12. Termination

SA Clinique reserves the right to suspend or terminate your access to our services at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination — including disclaimers, limitation of liability and indemnification — shall continue to apply.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in India.
